General Terms and Conditions of Sale

1. Subject and scope

These General Terms and Conditions of Sale (GTC) govern the contractual relationship between NS-RAID (hereinafter "Aeryntis Intelligence" or the "Provider") and any legal or natural person (hereinafter the "Client") wishing to benefit from market research, competitive analysis, and strategic intelligence services offered on the aeryntis.ns-raid.com platform.

These GTC apply to the exclusion of any other conditions. The Client acknowledges having read them and accepts them unreservedly before any order.

2. Service description

Aeryntis Intelligence offers three service formats:

• Punctual Analysis : market study or competitive analysis delivered within 72 business hours.
• Multi-Analysis Pack : complete market overview including all 4 available analysis types.
• Ongoing Monitoring : monthly subscription with corpus refresh and recurring analyses.

Results are delivered via a secure client portal accessible via tokenized link, with PDF export available.

3. Order and acceptance

Submitting a brief via the online form constitutes a service request. Sending a quote by Aeryntis Intelligence constitutes a commercial offer. Acceptance of the quote and payment of the invoice constitute acceptance of these GTC and form the contract between the parties.

4. Pricing and payment terms

Prices are expressed in euros excluding tax (ex. VAT). Applicable VAT is 20%. Payment is made by credit card via the Stripe platform, or by bank transfer upon prior agreement. Invoicing is handled via InvoiceNinja. All invoices are payable upon receipt.

For Ongoing Monitoring, payment is monthly and recurring. The first payment triggers the production of the first deliverable.

5. Delivery timelines

For Punctual Analysis and Multi-Analysis Pack, the deliverable is available in the client portal within 72 business hours of payment confirmation. For Ongoing Monitoring, the first deliverable is available within 5 business days. These timelines are indicative and may be affected by market complexity or source availability.

6. Right of withdrawal

In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to services fully performed before the end of the withdrawal period and whose execution began with the Client's express agreement. As Aeryntis Intelligence services are bespoke and immediately executed, no right of withdrawal applies after payment confirmation.

7. Confidentiality

Aeryntis Intelligence commits to maintaining strict confidentiality of data transmitted by the Client in the context of briefs and projects. This data is never shared with other clients or third parties not involved in the delivery. A non-disclosure agreement (NDA) can be signed upon request.

8. Intellectual property

Upon full payment, the Client becomes the owner of the reports and deliverables produced as part of their order. Aeryntis Intelligence retains the right to use the methodologies, tools, models, and know-how deployed in delivering the service, without disclosing Client-specific data.

9. Liability

Aeryntis Intelligence is subject to a best-efforts obligation. Analyses are based on publicly available sources and AI methodologies. Results are provided for informational purposes and do not constitute legal, financial, or strategic advice. Aeryntis Intelligence cannot be held liable for decisions made by the Client based on the deliverables.

10. Governing law and jurisdiction

These GTC are governed by French law. In the event of a dispute, the parties agree to seek an amicable resolution. Failing agreement, the competent courts of NS-RAID's registered office jurisdiction shall have exclusive jurisdiction.
